Terms of Service
Effective date: [EFFECTIVE DATE] · Contact: [email protected]
These terms govern your use of perpbrain.com, the PerpBrain waitlist, documentation, hosted services and any related software we make available (together, the "Services"). The Services are provided by [LEGAL ENTITY NAME], [REGISTERED ADDRESS], United Arab Emirates ("PerpBrain", "we", "us"). By using the Services you agree to these terms. If you use them for an organisation, you confirm you can bind it.
1. What PerpBrain is, and is not
PerpBrain is developer tooling: an open-source MCP server and Python/TypeScript SDKs that give software agents read-only Hyperliquid market data, simulation, and limits that the owner sets. Results are designed to be verified and reproducible.
PerpBrain is not: - investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any asset; - a broker, dealer, exchange, custodian, fund, portfolio manager or virtual asset service provider; - an invitation or inducement to trade.
We do not hold your funds, keys or assets, and we do not place, route or execute trades. You alone decide whether and how to use any output. We are not licensed by VARA, the SCA, the Central Bank of the UAE, the DFSA or the FSRA, because we do not carry on activities that require such a licence. If that ever changes, we will update these terms before any such feature is made available.
2. Eligibility
You must be 18 or older and legally able to contract. You may not use the Services if you are a sanctioned person or are located in a sanctioned jurisdiction (see the Acceptable Use Policy), or where use would breach the law that applies to you. You are responsible for checking that your use is lawful where you are.
3. Open-source software
The PerpBrain software is licensed under the MIT Licence (see the Open-Source Notice). That licence, not these terms, governs your rights in the code. These terms govern the website, the waitlist and any hosted Services.
4. Self-hosted use and your agents
When you run PerpBrain yourself, you control the environment, the strategies, the credentials and any connection to a trading venue. You are responsible for your agents' actions, for securing your keys, and for any trade placed by software you run. Limits are settings you choose; they reduce some risks but do not remove them, and losses are still possible.
5. Hosted Services and accounts
Paid hosted Services (such as verified history and team receipt verification) are also subject to the Paid Services Terms. Keep your API keys confidential; activity under your key is your responsibility. Tell us promptly at [email protected] if you suspect misuse.
6. Data and third-party sources
Market data comes from Hyperliquid and other third parties. We take care over verification, but third-party data may be delayed, incomplete or wrong, and venues may change or stop their interfaces. Hyperliquid is an independent protocol; we are not affiliated with or endorsed by it, and your use of it is governed by its own terms.
7. Simulated results
Simulations are models. They do not capture every real-world factor (for example queue position and liquidations are not currently modelled; each receipt states its gaps). Simulated or past results do not indicate future results. See the Risk Disclosure.
8. Acceptable use
You must follow the Acceptable Use Policy. We may suspend or end access if you breach it.
9. Intellectual property
We (or our licensors) own the PerpBrain name, logos and site content, excluding open-source code. You keep all rights in your strategies, inputs and outputs. You grant us a limited licence to process your inputs only to provide the Services. We do not use your strategies to build trading products. Feedback you choose to send may be used freely to improve the Services.
10. Disclaimers
To the extent the law allows, the Services are provided "as is" and "as available", without warranties of any kind, including fitness for a purpose, accuracy, availability or non-infringement. Nothing in these terms limits rights you have under UAE consumer law that cannot be excluded.
11. Limitation of liability
To the extent the law allows: (a) we are not liable for trading losses, lost profits, lost data, or indirect or consequential loss; (b) our total liability arising from the Services in any 12-month period is limited to the fees you paid us in that period, or USD 100 if you paid nothing. We do not exclude liability for fraud, gross negligence, wilful misconduct, or anything that cannot be excluded under UAE law (including Article 383 of the UAE Civil Transactions Law).
12. Indemnity
If you are a business user, you will compensate us for third-party claims arising from your breach of these terms, your agents' activity, or your breach of law.
13. Suspension and termination
You may stop using the Services at any time. We may suspend or end access for breach, legal risk, or sanctions concerns. Refunds on termination follow the Paid Services Terms.
14. Changes
We may update these terms. We will post the new version with a new effective date and, for material changes, notify account holders by email at least 14 days before they apply, except where a change is legally required sooner.
15. Governing law and disputes
These terms are governed by the laws of [GOVERNING LAW — see LEGAL-README: DIFC law / ADGM law / UAE federal law and the laws of the Emirate of Dubai]. Disputes go to [the DIFC Courts / ADGM Courts / the courts of Dubai], after a good-faith attempt to resolve them by email to [email protected] within 30 days. If you are a consumer, this does not remove rights or forum choices you have under mandatory UAE law.
16. General
If any part of these terms is unenforceable, the rest remains in force. You may not transfer these terms without our consent; we may transfer them to a successor. These terms, with the policies they refer to, are the whole agreement for the Services. The English version prevails unless UAE law requires an Arabic version to prevail.
